Terms of Services

The following are the terms and conditions for use of the UniSay.com member services including any other future service offered from time to time on the UniSay.com website (each feature individually and collectively referred to as the "Service"). Please read them carefully. This Service is provided to individuals who are at least 18 years old or minors who have parental permission to open and maintain a membership. BY CLICKING THE "I AGREE" BOX AND COMPLETING THE REGISTRATION PROCESS, YOU ARE STATING THAT YOU ARE ELIGIBLE FOR AN ACCOUNT AND THAT YOU AGREE TO BE BOUND BY ALL OF THESE TERMS AND CONDITIONS OF THE SERVICE ("TOS"). The Service is offered to you conditioned on your acceptance without modification of the terms, conditions, and notices contained herein.

MEMBER ACCOUNT, PASSWORD, AND SECURITY

To open an account, you must complete the registration process by providing us with current, complete and accurate information as prompted by the Registration Form. You are entirely responsible for maintaining the confidentiality of your password and nickname. Furthermore, you are entirely responsible for any and all activities that occur under your account. You agree to notify UniSay immediately of any unauthorized use of your account or any other breach of security.

MEMBER PRIVACY AGREEMENT

It is UniSay policy to respect the privacy of its members. UniSay will not monitor, edit, or disclose any personal information about you or your use of the Service, including its contents, without your prior permission unless UniSay has a good faith belief that such action is necessary to:

conform to legal requirements or comply with legal process;
protect and defend the rights or property of UniSay;
enforce the TOS; or
act to protect the interests of its members or others.

You agree that UniSay may access your account, including its contents, as stated above or to respond to service or technical issues.

MEMBER CONDUCT

As a condition of your use of the Service, you warrant to UniSay that you will not use the Service for any purpose that is unlawful or prohibited by these terms, conditions, and notices. You agree to abide by all applicable local, national and international laws and regulations and are solely responsible for all acts or omissions that occur under your account or password. By way of example, and not as a limitation, you agree not to:

Defame, abuse, harass, stalk, threaten or otherwise violate the legal rights (such as rights of privacy and publicity) of other UniSay members.
Publish, distribute or disseminate any inappropriate, profane, defamatory, infringing, obscene, indecent or unlawful material or information.
Harvest or otherwise collect information about other members, including email addresses, without their consent.
Interfere with or disrupt networks connected to the Service or violate the regulations, policies or procedures of such networks.
Attempt to gain unauthorized access to the Service, other accounts, through password mining or any other means.
Interfere with another member's use and enjoyment of the Service or another individual's or entity's use and enjoyment of similar services.
Attempt to reverse engineer, duplicate or mimic in any way, in whole or in part, the Service.

UniSay has no obligation to monitor the Service or any user's use thereof. However, UniSay reserves the right at all times to monitor, review, retain and/or disclose any information as necessary to satisfy any applicable law, regulation, legal process or governmental request.

LINKS TO THIRD PARTY SITES

LINKS INCLUDED WITHIN THE SERVICE MAY LET YOU LEAVE THE SERVICE WEB SITES ("LINKED SITES"). THE LINKED SITES ARE NOT UNDER THE CONTROL OF UNISAY AND UNISAY IS NOT RESPONSIBLE FOR THE CONTENTS OF ANY LINKED SITE OR ANY LINK CONTAINED IN A LINKED SITE, OR ANY CHANGES OR UPDATES TO SUCH SITES. UNISAY IS PROVIDING THESE LINKS TO YOU ONLY AS A CONVENIENCE, AND THE INCLUSION OF ANY LINK DOES NOT IMPLY ENDORSEMENT BY UNISAY OF THE SITE OR ANY ASSOCIATION WITH THEIR OPERATORS.

CONTENT

You shall not post on the Service any Content which (a) is libelous, defamatory, obscene, pornographic, abusive, harassing or threatening, (b) contains viruses or other contaminating or destructive features, (c) violates the rights of others, such as Content which infringes any copyright, trademark, patent, trade secret or violates any right of privacy or publicity, or (d) otherwise violates any applicable law. You agree that you have copyright clearance of any and all content uploaded, and agree to be fully bound by international copyright laws wherever and whenever applicable.

TERMINATION

UniSay may terminate your access to any part or all of the Service and any related service(s) at any time, with or without cause, with or without notice, effective immediately, for any reason whatsoever. UniSay may also terminate or suspend your account for inactivity, which is defined as failing to sign-in to the Service for an extended period of time, as determined by UniSay. Upon termination of the Service, your right to use the Service immediately ceases. If you wish to terminate your account, your only recourse is to discontinue the use of the Service.

MODIFICATIONS TO TERMS OF SERVICE, MEMBER POLICIES

UniSay reserves the right to change the TOS or policies regarding the use of the Service at any time and to notify you by posting an updated version of the TOS on this Web site. You are responsible for regularly reviewing the TOS. Continued use of the Service after any such changes shall constitute your consent to such changes.

LIMITATION OF LIABILITY

NEITHER UNISAY NOR ANY PROVIDER OF THIRD PARTY CONTENT OR THEIR RESPECTIVE AGENTS WARRANTS THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR FREE; NOR DOES UNISAY, ANY THIRD PARTY CONTENT PROVIDER, OR THEIR RESPECTIVE AGENTS MAKE ANY WARRANTY AS TO THE RESULTS TO BE OBTAINED FROM USE OF THE SERVICE OR THE CONTENT. THE SERVICE AND THE CONTENT ARE DISTRIBUTED ON AN "AS IS, AS AVAILABLE" BASIS. NONE OF UNISAY, THIRD PARTY CONTENT PROVIDERS AND THEIR RESPECTIVE AGENTS MAKE ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, WARRANTIES OF TITLE OR IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, WITH RESPECT TO THE SERVICE, ANY CONTENT OR ANY PRODUCTS OR SERVICES SOLD THROUGH THE SERVICE. NEITHER UNISAY NOR ANY THIRD PARTY CONTENT PROVIDER WARRANTS THAT ANY FILES AVAILABLE FOR DOWNLOADING THROUGH THE SERVICE WILL BE FREE OF VIRUSES OR SIMILAR CONTAMINATION OR DESTRUCTIVE FEATURES. YOU EXPRESSLY AGREE THAT THE ENTIRE RISK AS TO THE QUALITY AND PERFORMANCE OF THE SERVICE AND THE ACCURACY OR COMPLETENESS OF THE CONTENT IS ASSUMED SOLELY BY YOU.

NEITHER UNISAY, ANY THIRD PARTY CONTENT PROVIDER NOR THEIR RESPECTIVE AGENTS SHALL BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES ARISING OUT OF THE USE OF OR INABILITY TO USE THE SERVICE, EVEN IF SUCH PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

SOME COUNTRIES DO NOT ALLOW EXCLUSION OF IMPLIED WARRANTIES OR LIMITATION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATIONS OR EXCLUSIONS MAY NOT APPLY TO YOU. IN SUCH COUNTRIES, THE LIABILITY OF UNISAY, THIRD PARTY CONTENT PROVIDERS AND THEIR RESPECTIVE AGENTS SHALL BE LIMITED TO THE GREATEST EXTENT PERMITTED BY LAW.

INDEMNIFY

You agree to indemnify, defend and hold UNISAY and its affiliates, and their respective officers, directors, owners, agents, information providers and licensors (collectively, the "UNISAY Parties") harmless from and against any and all claims, liability, losses, costs and expenses (including attorneys' fees) incurred by any UNISAY Party in connection with any use or alleged use of the Service under your password by any person, whether or not authorized by you. UNISAY reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, and in such case, you agree to cooperate with UNISAY's defense of such claim.

LANGUAGE

It is the express will of the parties that this agreement and all related documents have been drawn up in English.
